PUBLIC OFFER

for the provision of translation and related services

This document is an official public offer of STATUS CO Translation Centre Limited Liability Company (hereinafter referred to as the Contractor) to conclude an agreement for the provision of translation and related services with any individual or legal entity (hereinafter referred to as the Customer) on the terms and conditions set out below.

Pursuant to Articles 633, 641, and 642 of the Civil Code of Ukraine, this Offer is public, and the Customer’s acceptance of this Offer constitutes full and unconditional consent to all the terms and conditions of this Agreement.

1. General provisions

1.1. The Contractor is STATUS CO Translation Centre Limited Liability Company, EDRPOU code 38403775, location:

1.3 This Agreement shall be governed by and construed in accordance with the laws of Ukraine.

2. Subject of the Agreement

2.1. The Contractor shall provide the Customer with translation and related linguistic services, and the Customer shall accept and pay for such services.

2.2. The Contractor’s services include, in particular:

  • written translations;
  • interpretation (consecutive and simultaneous);
  • notarisation of translations;
  • apostille and consular legalisation;
  • content localisation;
  • urgent translations;
  • other related linguistic services.

2.3. A detailed description of the services shall be posted on the relevant pages of the Contractor’s Website and/or agreed upon individually.

2.4. The Contractor shall have the right to engage third parties (translators, editors, notaries, contractors) to perform the Services, remaining responsible to the Customer for the result of such Services.

3. Procedure for concluding the Agreement (acceptance of the Offer)

3.1 Acceptance of this Offer is full payment of the invoice issued by the Contractor to the Customer.

3.2. From the moment the funds are credited to the Contractor’s account, the Agreement shall be deemed concluded in writing in accordance with Articles 205, 207, 642 of the Civil Code of Ukraine.

4. Cost of services and payment procedure

4.1 The cost of the Services is determined individually for each order.

4.2 Payment currency: UAH, EUR, or USD.

4.3. Payment is made on the terms of 100% prepayment in one of the following ways:

  • bank transfer;
  • online acquiring;
  • payment of the invoice.

4.4. The Contractor is not a VAT and income tax payer, but is a single tax payer at the rate of 5%.

5. Terms of Services provision

5.1. The terms of the Services are agreed individually for each order.

5.2. The period of performance of the Services shall begin from the moment of full payment and provision of all necessary materials by the Customer.

6. Provision of materials by the Customer

6.1. The Customer shall provide the materials for translation in the appropriate format.

6.2. The Customer shall be fully responsible for the content, legality, and accuracy of the materials provided.

6.3. The Customer shall determine the original language and terms of providing the materials.

7. Acceptance of results and corrections

7.1. The result of the Services shall be delivered to the Customer in electronic or paper form, at the Customer’s option.

7.2. The Customer has the right to submit motivated comments on the quality of the Services within 3 (three) business days from the date of receipt of the result.

7.3. Corrections shall be made within reasonable limits and shall not change the original terms of reference or the scope of the order.

7.4. In the absence of comments within the specified period, the Services shall be deemed to be duly accepted.

8. Refunds

8.1. In case of cancellation of the Services by the Customer before the start of their performance, a refund of up to 90% of the paid amount is possible.

8.2. After the start of the Services, the funds are non-refundable.

8.3. The issue of refunds is decided by the Contractor on an individual basis.

9. Responsibility of the parties

9.1. The Parties shall be liable in accordance with the current legislation of Ukraine.

9.2. The Contractor shall not be liable for the content of the materials provided by the Customer.

9.3. The Contractor’s liability for any claims of the Customer shall be limited to the value of the relevant order, unless otherwise expressly provided by law.

10. Intellectual property

10.1. The intellectual property rights to the result of the Services shall be transferred to the Customer upon full payment for the Services, unless otherwise agreed by the parties in writing.

11. Confidentiality

11.1. The Contractor undertakes to ensure the confidentiality of the Customer’s documents and information.

11.2. Confidentiality obligations shall also apply after the expiration or termination of this Agreement.

12. Force majeure

12.1. The Parties shall be released from liability for non-fulfilment of obligations in the event of force majeure in accordance with the legislation of Ukraine.

13. Final provisions

13.1 This Offer is valid indefinitely until its withdrawal by the Contractor.

13.2. The current version of the Offer is always available on the Contractor’s Website.
